4. Legal Services
4.1 Service Description
Spotlight Legal provides legal services in entertainment and sports law, including talent representation agreements, content licensing, and production legal support. The specific scope of services will be outlined in individual engagement letters.
4.2 Engagement Process
Legal services commence only after we have accepted your matter and you have signed an engagement letter. Initial consultations do not create a solicitor-client relationship unless explicitly confirmed in writing.
4.3 Scope Limitations
Our services are limited to the scope agreed upon in the engagement letter. We are not responsible for matters outside the agreed scope unless separately engaged to handle such matters.
5. Fees and Payment
5.1 Fee Structure
Our fees are set out in the engagement letter and may be based on fixed fees, hourly rates, or other arrangements as agreed. All fees are stated in Hong Kong Dollars (HKD) unless otherwise specified.
5.2 Payment Terms
Payment terms will be specified in the engagement letter. Generally, invoices are payable within 14 days of issue. We reserve the right to suspend services if accounts remain unpaid beyond the agreed payment period.
5.3 Additional Costs
In addition to professional fees, you are responsible for disbursements and expenses incurred in connection with your matter, including court fees, filing fees, travel expenses, and third-party costs.
5.4 Retainer
We may require an advance payment (retainer) before commencing work. The retainer will be held in our client account and applied against fees and disbursements as they are incurred.
6. Client Responsibilities
As our client, you agree to:
- Provide complete, accurate, and timely information relevant to your matter
- Respond promptly to our requests for information or instructions
- Inform us immediately of any material changes to your circumstances
- Comply with all applicable laws and regulations
- Pay fees and expenses in accordance with the engagement letter
- Maintain confidentiality of privileged communications
7. Intellectual Property
7.1 Website Content
All content on our website, including text, graphics, logos, images, and software, is the property of Spotlight Legal or our licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.
7.2 Work Product
Documents and work product we create for you in the course of providing legal services belong to you upon full payment of our fees. However, we retain the right to keep copies for our records and professional obligations.

You may terminate our engagement at any time by providing written notice. You remain responsible for fees and expenses incurred up to the termination date.
11.2 By Spotlight Legal
We may terminate our engagement in accordance with professional conduct rules, including where there is a conflict of interest, non-payment of fees, or breakdown of the solicitor-client relationship.
11.3 Effect of Termination
Upon termination, we will provide you with your file and any documents belonging to you, subject to payment of outstanding fees. We may retain copies as required for our records.
12. Dispute Resolution
12.1 Governing Law
These Terms and Conditions are governed by the laws of the Hong Kong Special Administrative Region.
12.2 Jurisdiction
Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
12.3 Informal Resolution
Before initiating formal proceedings, we encourage clients to discuss concerns directly with us to seek amicable resolution.
